LEGAL OFFICER – UCSC/HR/CEO/01/2023, 1 POSITION
a) Reporting Structure

b) Job Purpose
The Legal Officer will be responsible for guiding and advising the SACCO and its Subsidiaries on legal and
regulatory matters including but not limited to, reviewing existing and preparing new contracts, perfecting
securities, ensuring SACCO compliance with legal and statutory requirements, and identifying and
managing legal risks in all SACCO’s operations.
The role’s principal goal will be to offer practical legal support to the Societythrough balanced business-oriented
legal advice that will guarantee that all our transactionsanddecisionscomplywithestablished lawsand
regulationsin linewith the legal risk policyand related contractual, litigation, and securities procedures &
processes.

c) Key Responsibilities
i. Provide Legal advice and guidance to the Chief Executive Officer, Management, and staff on a
wide range of issues including employment law, intellectual property, contract law, etc., and
changes made thereof;
ii. Monitor and ensure SACCO compliance with the SACCO by-laws, legal and regulatory
requirements, policies, and procedures relevant to the mandate and operations of the SACCO;
iii. Drafting, drawing up, and reviewing contracts, Service Level Agreements, Memorandum of
Understanding, leases, and other legal documents to ensure compliance with statutory
requirements and the Society’s policies;
iv. Represent the SACCO in legal proceedings, such as arbitration hearings and court cases, and
follow-up on judgments and related costs;
v. Manage & coordinate external legal counsel /liaison agencies by providing briefings/discussion,
providing required documents, and ensuring they are providing high-quality legal services to the
SACCO;
vi. Prepare debt collection demand letters, and efficiently review all SACCO securities as well as
collaterals and charge documents for proper perfection;
vii. Review of legal reports on properties to be taken as collateral and advising on issues related to
stamp duty; registration of documents, etc. as part of due diligence on the property-related
documentation;
viii. Conducting legal research and providing advice on legal and corporate matters to the Society
through interpretation and writing legal opinions;
ix. Provision and interpretation of legal information, conducting of training, and dissemination of
relevant legal requirements to staff;
x. Champion and spearhead the SACCO data privacy and compliance in line with Data Protection
Act 2019;
xi. Any other lawful duty as may be assigned from time to time.

d) Academic & Professional Qualifications
i. Bachelor of Laws degree (LL. B) from a recognized University;
ii. Postgraduate Diploma in Law from Kenya School of Law;
iii. Admission as an advocate of the High Court of Kenya (minimum 3 years post admission) and a
member of the Law Society of Kenya (LSK) in good standing ;
iv. Registration as a Certified Public Secretary will be an added advantage.

e) Required work experience:
A minimum of 4 years experience in the legal department in a busy financial institution with sound
exposure to:
i. Contract and customer documentation drafting
ii. Development of sound legal advisory and sound general advice
iii. Credit or lending
iv. Corporate recoveries
v. Perfection of securities
