Job Title: Corporation Secretary and Director Legal Services (CA3)

Overview:
The Communications Authority of Kenya (The Authority) is the regulatory agency responsible for
regulation of the communications sector in Kenya. We are committed to promoting and facilitating
the development of a vibrant and inclusive communications industry. As part of our strategic
objectives, we are seeking a highly skilled and experienced Corporation Secretary and Director
Legal Services to join our team. This is a key leadership role responsible for providing legal and
governance expertise to ensure compliance with legal and regulatory requirements.

Job Summary:
Under the supervision of the Director General, the Corporation Secretary and Director Legal
Services will serve as the principal legal advisor to the Authority. This role requires a strong
background in corporate governance, regulatory compliance, and legal affairs. The successful
candidate will be responsible for providing legal guidance, ensuring compliance with relevant laws
and regulations, managing legal risks, and overseeing the company's secretarial functions.
1. Provide legal advice and guidance to the Authority's senior management, Board of
Directors, the Universal Service Advisory Council and other stakeholders on legal and
governance matters.
2. Ensure compliance with relevant laws, regulations, and industry codes, including the
Kenya Information and Communications Act, and other applicable legislation.
3. Establish and manage the Authority’s Register of Codes, Regulations, Rules, Guidelines,
Bylaws and Treaties, while ensuring consistency with each other, and compliance with the
National and County legal frameworks
4. Monitor and analyze legislative and regulatory developments impacting the
communications sector and provide recommendations and updates to the organization.
5. Draft, review, and negotiate a wide range of legal agreements, contracts, and legal
documents, ensuring their accuracy, legality, and compliance with internal policies and
procedures.
6. Manage legal risks, develop risk mitigation strategies, and implement effective legal
compliance programs.
7. Oversee the company secretarial functions, including preparing and maintaining corporate
records, organizing Board and committee meetings, and ensuring compliance with
statutory and regulatory requirements.
8. Develop and implement governance policies and procedures, ensuring adherence to
corporate governance principles and best practices.
9. Coordinate with external legal counsel and manage relationships with external
stakeholders, including government agencies, industry bodies, and legal advisors.
10. Conduct legal research and analysis to support decision-making processes and provide
recommendations on legal and regulatory issues.
11. Handle and manage legal disputes, including managing litigation, alternative dispute
resolution processes, and settlements.
12. Collaborate with internal departments and provide legal support and advice on commercial
transactions, procurement, intellectual property, and data protection matters.
13. Stay updated on legal and regulatory developments in the communications industry and
provide training and awareness programs to internal stakeholders to ensure compliance.
14. Lead and manage a team of legal professionals, providing leadership, guidance, and
professional development opportunities.

Qualifications:
1. Bachelor’s degree in law from a recognized university.
2. Postgraduate degree in Law or relevant field.
3. Admission to the Kenyan Bar as an Advocate of the High Court of Kenya and holder of a
current practicing certificate.
4. Membership to the Institute of Certified Secretaries of Kenya.
5. Minimum of 12 years of experience in legal practice, preferably in a regulatory or corporate
environment and at least four (4) years in a management role position in the public service
or private sector.
6. Fulfill the requirements of Chapter Six of the Constitution (2010)

Key Competencies:
1. In-depth knowledge of Kenyan laws and regulations, particularly those related to the
communications sector.
2. Strong understanding of corporate governance principles and best practices.
3. Demonstrated experience in drafting, reviewing, and negotiating legal agreements and
contracts.
4. Proven experience in managing legal disputes and litigation processes.
5. Familiarity with regulatory frameworks and processes in the telecommunications industry
is an advantage.
6. Excellent analytical and problem-solving skills, with the ability to provide practical legal
advice and solutions.
7. Strong leadership and team management skills, with the ability to motivate and inspire a
diverse team of legal professionals.
8. Excellent communication and interpersonal skills, with the ability to effectively engage
and negotiate with stakeholders at various levels.
